3. Account Management and visibility
3.1. Please note that we offer two types of Accounts: personal and business. Each REFORESTUM User can have only one personal Account or one business Account. In case you need more than one Account for any reason, please contact us at: info@reforestum.com. In the event that a User must change their type of Account, this may mean that we must request additional information to the already requested initially in their registration in order to enable all the functionalities of the Platform. By creating a "Company" Account and accepting our Terms of Service, you guarantee as a User that you will not use this Account for personal, family or domestic purposes.
3.2. In order to create a forest on the Platform, you must first register so that your data appears in the ownership rights over the forest as well as in the invoices that we issue with each acquisition of rights.
3.3. Each forest contains a public ranking of users ordered according to the surface acquired or the carbon credits acquired by each user -depending on the type of project (See section 5.2). As a Reforestum User you can configure the level of privacy of your Account when you appear in these lists. Reforestum offers three levels of privacy, which you will be able to configure in "My Account> Personal information> Account privacy". The surface of each User is always public. Privacy levels:
- Totally private. This privacy level is configured by default. Neither the avatar nor the username appear publicly anywhere on the Reforestum Platform.
- Show only nickname. This level of privacy protects the user's name. A nickname of your choice is displayed instead of the name. The avatar image is public.

In the event that REFORESTUM or any of its employees notice an anomalous behavior on the part of a User or evidence of non-compliance with these Terms of Service, as a User you accept and acknowledge that we may request that you send information in particular on said issue and initiate, either directly or through the competent authorities, as stipulated in each case by the legislation applicable to REFORESTUM, the corresponding investigation. Likewise, you accept that REFORESTUM may suspend or limit your access to your Account or Services during the course of said investigation, notifying you in writing and, where appropriate, informing you in the notification of the ways you have to restore the Account to your full operation.
3.6. Deleting an Account with the intention of avoiding an investigation will not mean that it is avoided, so that while it lasts REFORESTUM is able to block the activity and funds corresponding to it, if applicable, for a maximum of 180 days with the sole purpose of protecting REFORESTUM or Third Parties against cancellations, charges, fraud, claims, fees, penalties, etc. that may arise.
3.7. REFORESTUM reserves the right to revoke the Rights on Forests and cancel the User Account in case of violation of the provisions of these Terms of Service, its updates or any other documents and notifications issued by REFORESTUM and that bind Users; as well as taking whatever legal action is pertinent. Likewise, REFORESTUM reserves the right to prohibit the use of the Platform in the future and the creation of a new Account.
3.8. In the case contemplated in the previous paragraph, REFORESTUM, when feasible, will inform the User of the reasons for the cancellation of the Account and revocation of their rights, and will reimburse the funds that proceed in accordance with the responsibility incurred, your Forest Rights and the other provisions established in these Terms of Service.
4. Operation of the platform
4.1. After setting up your profile, you are ready to start offsetting your carbon footprint. The Platform has four main functionalities: Home, My Forests, Carbon Footprint and Create Forest.
a) Start: Contains summary information about your CO2 footprint compensation. It shows your sources of pollution (CO2 Sources) as well as the carbon sequestration that you are making through the forests that REFORESTUM manages for you, and which are also indicated on the right of the panel. In addition, it indicates the carbon forecasts that your investment is expected to capture in the long term and the balance between your CO2 emissions and the carbon captured by REFORESTUM.
b) My Forests: In this section you can check the status of your Forests through satellite images, notifications and photographs, depending on the most appropriate information available for each project.
c) Carbon footprint: In this part of the Platform you can detail all the activities of your day-to-day that involve the emission of CO2 into the atmosphere, such as driving, traveling by plane, your electricity bill and many others. Depending on the information you include, the Platform will ask you for some essential data to be able to calculate the CO2 emission produced by that specific activity. Once added, it will always appear in the Carbon Footprint section and the emissions from this activity will be added to the rest of the activities that you enter to calculate your CO2 footprint (hereinafter, “Your CO2 Footprint”).
d) Create Forest: In this section you can acquire an exclusive right to offset your carbon footprint either through a certain amount of square meters of forest that you wish to offset your CO2 Footprint, or through carbon credits in certified projects (hereinafter, your "Forest"). You can choose between any of the projects that we manage in REFORESTUM and that the Platform indicates. First of all, you will have to establish the criteria based on which you want to acquire your Forest: your budget, the CO2 Footprint that you have calculated, or a specific forest area -in the case of projects that admit it, according to their typology (See section 5.2).
Next, the Platform will indicate to you, depending on said criteria, the m2 or the amount of carbon credits that would correspond to acquire to offset said CO2 Footprint, the price and the carbon that would be captured. In addition, you will see a brief description of each forest. To see how Forests are configured, the types of Forests and how each User is assigned his Forest, please, consult section 5 of these Terms of Service. Please note that as a User you are acquiring a right to compensate your Footprint of CO2 either by planting trees either in an area of m2 in the Forest that you select or in a number of carbon credits.
4.2. In addition to these four main functionalities, a button will appear with your icon and your avatar image (if you have entered it) through which you can access “My Account” where you will find your personal information, invoice data, certificates of CO2 compensation (where available) and Platform access data.
5. Project operation, distribution and management
5.1. REFORESTUM's main activity is reforestation, protection of existing forests and certification of carbon footprint compensation through the fixation of carbon produced by forests that we manage either directly or indirectly, or by third-party conservation projects that we commercialize through our Platform (hereinafter, the " REFORESTUM Projects").
5.2. REFORESTUM projects are those reforestation or / and forest conservation projects that are available at all times within the Platform, and have the characteristics that in each case are indicated with respect to each one of them. The following table details the types of projects available on the Platform:
5.3. Proprietary Reforestation projects on own land or on land assigned within an agreement with third party entities
a) General operation
REFORESTUM is in charge of the maintenance and exploitation of the REFORESTUM Forests, either directly or through third-party companies with which it has formalized the corresponding contracts, as indicated in the table above. Said maintenance and exploitation will be carried out according to the type of Forest in each case and according to these REFORESTUM Terms of Service.
The land on which the projects are located can be aland that is protected, reforested or being reforested, regardless of the age of the plantation or the technique used (including trees planted from seed), and may have been acquired directly by REFORESTUM or belong to to third organizations with which REFORESTUM has formalized the necessary agreements to allow REFORESTUM's activity.
A REFORESTUM Forest can be made up of different contiguous or non-contiguous areas, called sectors (hereinafter, “Sector/s”). If case of not being contiguous, they will be located relatively close to each other, considering, even so, a single entity called Forest.
Each Sector consists of an approximate area of at least 10,000m 2. The spatial division depends on the conditions, the terrain orography, and the total area of the REFORESTUM Forest. The Sectors of each REFORESTUM Forest are identified with a correlative number starting with one (1).
When a User acquires rights over a REFORESTUM Forest to offset its CO 2 Footprint, these rights are conferred on a forest area quantified in square meters and assigned to a Sector of a REFORESTUM Forest. The surface will be determined with a precision of two decimal places, therefore a non-integer number of square meters can be assigned. The same User can acquire rights in one or more of the REFORESTUM Forests.
REFORESTUM will try to assign, whenever possible, the rights of the same User in a single Sector, depending on the space available in the sectors at the time of purchase. A User may have rights to more than one sector if (i) a User acquires rights to a surface greater than the total surface of a sector and / or (ii) when extending its Forest, the sector on which had rights has no available surface.
b) Rights and obligations of Forest Users
Through the Platform, the User may acquire an exclusive right of use over the square meters of REFORESTUM Forest that they wish to compensate for their CO 2 Footprint (hereinafter, a "Forest Rights").
The basic unit of measurement of the surface over which the rights are granted is the square meter (m²), according to the international metric system (SMI). The price of the rights to the Forests is established per square meter, admitting the square meter fraction and the whole square meter. The purchase price of Forest Rights may vary over time, depending on the market.
A Forest Right empowers the User to know the capture of CO 2 that takes place in the m² of the REFORESTUM Forest over which it has acquired the rights (its “Forest”) through images, geolocation, satellite view and REFORESTUM notifications. Likewise, this right empowers the User to visit their Forest, always respecting the guidelines and instructions described in this document or otherwise by REFORESTUM. Under no circumstances may the User who visits its Forest perform any actions that are prohibited, contrary to law or contrary to the work of REFORESTUM in the Forest, such as (but not limited to): making fires in the Forest or in its surroundings, cutting down trees, damaging the fauna or flora, smoking, etc. Users who wish to hold events in their Forest must have the prior written authorization of REFORESTUM. Users will be liable for any administrative, criminal and any other sanctions that, as a consequence of their performance of any prohibited conduct, REFORESTUM suffers.
The Forest Rights are granted exclusively to the REFORESTUM Account holder. The transfer of these rights, as well as any change of Account holder or the resale of these rights without the prior written consent of REFORESTUM is strictly prohibited.
As a REFORESTUM User you agree to make an ethical use of the Platform in accordance with these REFORESTUM Terms of Service, as well as respect and protection of the REFORESTUM Forests.
c) Obligations of REFORESTUM
As the owner or concessionaire of the land, as indicated in this section 5 of these Terms of Service, REFORESTUM undertakes to:
Search, purchase and undertake any conditioning of reforested land, whether it is reforestation or protection of existing forests.
Plan and execute the reforestation, as well as periodic monitoring to take corrective actions if necessary. This planning includes regular specific verification actions and replenishment of seedlings (“marras”) in the first years of the reforestation. Each REFORESTUM Forest has its own succession plan that is published on the REFORESTUM website, Platform, and social networks. In case you need information about a specific aspect, you can contact us through: info@reforestum.com.
Maintain or establish the necessary agreements with Third Party owners to guarantee the maintenance of the REFORESTUM Forests in conditions necessary to ensure the success of reforestations, maintain the health of the forest, maximize carbon capture and comply with the legal regulations applicable to each location.
Calculate and estimate the amount of CO2 captured in each case by the REFORESTUM Forests, using the most reliable CO2 capture models possible; as well as their periodic verification to correct them if there are deviations in the capture measurements with respect to the established theoretical models. The computed captured carbon includes all the elements of the landscape that are part of the biomass, both at the aerial and subsoil levels, including the soil, flora and fauna of the forest.
Finance and pay the costs associated with the maintenance, management and exploitation of the Forests, or establish the necessary agreements to guarantee them with the Third Party owners, including the payment of the taxes that in each geographical location are applicable for the land and the type of activity that REFORESTUM develops.
The exploitation of any surpluses that the REFORESTUM Forest can offer in the form of fruits, nuts, fruits, resins, honey, biomass or other natural products, with the aim of meeting the maintenance costs of each Forest and with the commitment to extract always the minimum necessary to cover management and maintenance costs and guarantee the optimal durability of the forest and the maximum carbon capture possible.
All these obligations may be properly fulfilled by REFORESTUM and its staff or by third-party organizations hired for this purpose, always subject to the REFORESTUM Terms of Service and the applicable legislation in each geographic location and type of REFORESTUM Forest.
5.4. Third-party conservation projects based on carbon credits
REFORESTUM, through strategic agreements with international cooperation organizations and / or funds, offers its clients to purchase carbon credits (CO2 compensation) in forest conservation and regeneration projects.
The projects are certified as CO2 absorption projects by an internationally recognized trusted third party, generally according to the international standard VCS (Verified Carbon Standard) managed by the American Verra Foundation, although other standards such as Gold Standard or Plan Vivo may also be used. The annex to each project contains specific information regarding certification.
Users can buy carbon credits through the REFORESTUM Platform as indicated in the online purchase process and according to the chosen project. Carbon credits work through a public registry, in which they can be withdrawn by organizations and / or international cooperation funds that finance the project directly. On the part of REFORESTUM, the organizations with which we work are those that retire the credits from the relevant public registry once they are purchased by REFORESTUM Users through the Platform, and do so with an explicit mention of REFORESTUM in the corresponding registry. This information is public, each credit certification system has its own registration system as explained in the following sections. Please, consult the annex of each project to consult the specific information on the carbon credit system used by each project.
Carbon credit system and carbon credit retirement registry specified by each project: carbon credits are measured in different units, for example, VCUs (Verified Carbon Units - Verified Carbon Units in Spanish) in the case of Verra VCS. Each VCU represents one ton of carbon dioxide equivalent (CO2e) reduced or avoided by the project. Each carbon credit system has its own registry accessible to the public.
In the case of Verra, the registry is accessible through: https://registry.verra.org/ where all ownership transfer transactions of the credits, as well as the documentation of each project is offered publicly.
6. Billing and Payments
6.1. Users acquire Forest Rights through one-off payments each time they make a new acquisition. Payments can be made through any of the payment gateways available on the Platform. All prices include applicable taxes.
6.2. Each time you make a purchase of Forest Rights through our Platform, we will send you the corresponding invoice by email or a downloadable file will be generated after completing the purchase that you can store on your device. Likewise, at REFORESTUM we will keep a copy of each invoice. In your REFORESTUM Account you can download a certificate certifying your Rights over Forests.
6.3. The Euro (€) is the monetary system used by REFORESTUM. However, the Platform offers the possibility of viewing prices in other currencies, applying in each case the official exchange rate in effect for these at the time of purchase. However, payment is always made in Euros and it will be the bank or intermediary payment platform who will make the necessary foreign exchange (if necessary) to be used in the sale transaction. REFORESTUM reserves the right to change its currency to another currency at any time, although said change will not affect previously made transactions.
6.4. REFORESTUM does not store the User's credit / debit card data, but these are provided to authorized electronic payment service providers (currently Stripe and Coinbank), which have been certified as a PCI level 1 service provider, level 1 strictest certification available), which will directly receive the data included and will store them to facilitate the payment process to the User and manage it on behalf of REFORESTUM. In no case REFORESTUM stores this data on its servers.
